WorldX Innovation Inc.
VENDOR AGREEMENT
Effective Date: 03.27.2026
This Vendor Agreement (“Agreement”) is entered into between WorldX Innovation Inc. (“WorldX”, “we”, “us”, or “our”) and the individual or entity registering as a vendor (“Vendor”, “you”, or “your”).
By listing products or services on the WorldX platform, you agree to the following terms:
1. PLATFORM ROLE
WorldX operates as a technology marketplace platform that connects Vendors with users for:
- Property listings (short-term stays, exchange, rental, or sale)
- Vehicle listings (rental, shared use, or exchange)
- Food or service offerings
- Travel-related services
WorldX does not own, control, or operate any Vendor-listed products or services.
2. VENDOR ELIGIBILITY & REGISTRATION
You represent and warrant that:
- You are at least 18 years of age
- You have legal authority to offer the listed products/services
- All information provided during registration is accurate and complete
WorldX may require:
- Identity verification
- Business registration documents
- Background checks
Failure to comply may result in suspension or termination.
3. LISTING REQUIREMENTS
3.1 Accuracy
All listings must:
- Be truthful, accurate, and up-to-date
- Include clear descriptions, pricing, and availability
- Disclose all material conditions, restrictions, and limitations
3.2 Prohibited Listings
You may not list:
- Illegal goods or services
- Misleading or fraudulent offerings
- Unsafe or non-compliant properties, vehicles, or services
3.3 Content Responsibility
You are solely responsible for:
- Listing content
- Images and descriptions
- Pricing accuracy
4. PRICING & FEES
4.1 Vendor Pricing
You determine your own pricing, subject to:
- Transparency requirements
- Applicable laws and regulations
4.2 Platform Fees
WorldX may charge:
- Fixed service fees
- Commission-based fees
- Transaction processing fees
4.3 Taxes
You are responsible for:
- Collecting and remitting applicable taxes
- Compliance with tax regulations
5. BOOKINGS & TRANSACTIONS
5.1 Contract Formation
All bookings create a direct agreement between Vendor and user.
WorldX is not a party to these agreements.
5.2 Fulfillment
You are solely responsible for:
- Delivering the service as described
- Meeting agreed timelines and conditions
- Customer satisfaction
5.3 Cancellations
You must clearly define:
- Cancellation policies
- Refund terms
- Penalties
6. EXCHANGE / SHARING MODEL (CRITICAL FOR YOUR PLATFORM)
For exchange, shared-use, or barter-based transactions:
- You acknowledge increased risk in non-monetary transactions
- You are responsible for verifying counterparties
- You agree that WorldX does not guarantee fairness, equivalency, or suitability
WorldX is not liable for:
- Mismatched exchanges
- Disputes between parties
- Loss, damage, or dissatisfaction
7. COMPLIANCE WITH LAWS
You agree to comply with all applicable laws, including:
- Local rental and zoning laws
- Licensing requirements
- Consumer protection laws
- Health and safety regulations
You are solely responsible for obtaining necessary permits or approvals.
8. INSURANCE REQUIREMENTS
You agree to maintain appropriate insurance, including where applicable:
- Property insurance
- Liability insurance
- Vehicle insurance
Proof of insurance may be requested at any time.
9. SAFETY & QUALITY STANDARDS
You must ensure that:
- Properties are safe and habitable
- Vehicles are roadworthy and compliant
- Services meet reasonable safety standards
Failure to meet standards may result in removal from the platform.
10. CUSTOMER INTERACTIONS
You agree to:
- Treat users professionally and respectfully
- Respond to inquiries in a timely manner
- Provide accurate communication
You may not:
- Harass, discriminate, or mislead users
- Conduct transactions outside the platform to avoid fees
11. PAYMENT PROCESSING
Payments are processed through third-party providers.
You acknowledge that:
- Payment processing is subject to third-party terms
- WorldX does not guarantee payment completion
- Delays or failures may occur
12. DISPUTES & RESOLUTION
12.1 Vendor Responsibility
You agree to:
- Act in good faith to resolve disputes
- Cooperate with WorldX dispute processes
12.2 Platform Role
WorldX may:
- Facilitate dispute resolution
- Issue refunds or adjustments at its discretion
WorldX is not obligated to resolve disputes.
13. DATA & PRIVACY
You agree to:
- Handle user data in compliance with applicable privacy laws
- Use customer data only for transaction purposes
You may not:
- Sell or misuse user data
- Contact users outside permitted purposes
14. INTELLECTUAL PROPERTY
You grant WorldX a non-exclusive license to:
- Use your listing content
- Display your content for marketing and platform operations
You represent that you own or have rights to all content provided.
15. SUSPENSION & TERMINATION
WorldX may suspend or terminate your account for:
- Policy violations
- Fraud or suspicious activity
- Legal or regulatory concerns
You may terminate your account subject to:
- Completion of pending transactions
- Settlement of outstanding obligations
16. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
WorldX is not liable for:
- Vendor performance failures
- User disputes
- Property damage or loss
- Personal injury or safety incidents
- Financial losses
17. INDEMNIFICATION
You agree to indemnify and hold harmless WorldX from:
- Claims arising from your listings
- Violations of laws or regulations
- Disputes with users
18. RELATIONSHIP OF PARTIES
You are an independent contractor.
This Agreement does not create:
- Employment
- Partnership
- Joint venture
19. MODIFICATIONS
WorldX may update this Agreement at any time.
Continued use constitutes acceptance of changes.
20. GOVERNING LAW
This Agreement is governed by the laws of Ontario, Canada.
